How to Open a Cyprus Company from the UK — Remotely, Step by Step
You do not need to fly to Nicosia to form a Cyprus company. UK founders complete the entire process remotely in 7–10 business days — and with the UK’s non-dom regime abolished from April 2025, more of them are doing exactly that. Here is the process end to end, including the documents you need and the decisions worth making before you start.

Why UK founders choose Cyprus
Three drivers come up in almost every UK conversation:
- EU base after Brexit. A Cyprus company restores EU market access — EU VAT and OSS registration, euro invoicing, and EU counterparty status — under an English common law system that feels immediately familiar.
- Tax. 15% corporate income tax (effective January 2026), 0% withholding on qualifying dividends to non-residents, 65+ tax treaties including the UK treaty, and — for founders who relocate — the non-dom framework that broadly keeps dividends and passive interest outside Special Defence Contribution for 17 years.
- Timing. The UK abolished its non-dom regime from April 2025. For internationally mobile founders reviewing where they and their next venture should sit, Cyprus is one of the few EU options with a clear, established personal regime — see our guides to the 60-day and 183-day residency routes.
Important: forming a Cyprus company does not by itself move you or your existing UK company out of UK tax. Where the company is managed and controlled, and where you are personally resident, determine the outcome — we plan both sides before incorporating, and we recommend UK advice on the UK end.
Step 1 — Free consultation (30 minutes, no obligation)
We confirm what the company will do, who owns it, where it will be managed from, and whether you plan to relocate. This determines the share structure, whether nominee directors make sense for Cyprus management and control, and whether VAT registration is needed from day one.
Step 2 — KYC documents (the only part you do)
Cyprus AML rules require certified identity documents for directors, shareholders and ultimate beneficial owners:
- Certified passport copy
- Proof of address (utility bill or bank statement, recent)
- Brief professional/source-of-funds background
Certification can be done by a UK solicitor or notary, and documents are submitted digitally. This is typically a single afternoon of admin.
Step 3 — Name reservation & constitutional documents
We check and reserve your company name with the Registrar of Companies and draft the Memorandum & Articles of Association around your structure — share classes, director powers and any shareholder protections you need.
Step 4 — Incorporation
We file with the Registrar and obtain your Certificate of Incorporation. Together with the registered office in Nicosia and the statutory registers, your company legally exists at this point — standard timeline 7–10 business days from complete KYC.
Step 5 — Tax & VAT registration
We register the company with the Cyprus Tax Department for its Tax Identification Code (TIC). Where your activities require it, we also handle VAT and VIES registration as an additional service, quoted separately — essential if you will invoice EU customers under OSS. See our note on VAT for SaaS and digital services.
Step 6 — Banking
We prepare the corporate banking pack and introduce you to Cyprus banks, EU EMIs and payment providers suited to your profile. Many UK founders run a Cyprus bank account alongside an EMI for day-to-day payments. Timelines vary by institution; starting this in parallel with incorporation saves weeks.
After formation: what your year looks like
- Registered office and company secretary maintained in Nicosia (statutory requirements — we provide both)
- Annual Return (HE32) filed with the Registrar
- IFRS financial statements, audit and corporation tax return (IR4)
- VAT returns if registered
- No annual government levy — the €350 levy was abolished in 2024
Every item is quoted as a fixed annual fee before you commit — full details in our 2026 cost breakdown.
FAQ
Do I need to visit Cyprus to open the company?
No. KYC, incorporation, tax registration and most banking can be completed remotely. Many clients first visit after the company is already trading.
Do I need a Cypriot director?
There is no strict legal requirement, but Cyprus-resident directors are strongly recommended where you want the company to be Cyprus tax resident through management and control. We provide nominee directors backed by legally binding side agreements.
Can I keep living in the UK?
You can own a Cyprus company from the UK, but UK residence and UK management can pull the company or its profits into UK tax. The clean outcomes come from planning management, control and (often) your own residency together — we map this in the first consultation and recommend UK advice alongside.
How fast can I be operational?
7–10 business days to incorporation and tax registration from complete KYC documents; banking runs in parallel and varies by institution.
Limited-time offer: full Cyprus company formation for a fixed professional fee of €999 — name reservation, Memorandum & Articles, incorporation and tax registration, handled end-to-end by regulated professionals.
